How do you register a company in Finland?
Some key facts on registering a company in Finland in 2022:
- You can register a limited liability company online only if you meet the following requirements: all the shareholders, board members and the managing director (if any) must have Finnish personal identity codes and they must be able to identify themselves electronically. The online registration can only be done in Finnish or Swedish.
- In case you don't meet the above requirements, you will need to use the Trade Register's registration forms to register your company. Processing them takes more time than the online registration. The handling fee of € 380 must be paid in advance. You don't need to visit Finland to register your company. Companies House Finland can help you handle all the paperwork remotely.
- Since 2019, no share capital is required in a limited liability company. It's usually recommendable not to have a share capital - otherwise the company will in most cases need a bank account before it's even registered, and the share capital must be deposited in the account.
- When the company is registered, it needs to have a mail address in Finland. Companies House Finland can provide you with one.
- Obviously, the company also needs a name. The availability of the name you are considering can be checked here: nimipalvelu.prh.fi/nipa/en
- If the board of directors of a limited liability company has only one or two members, at least one deputy member must be appointed. At least one of the board members (and one of the deputy members, if any) must be a permanent resident of a country belonging to the European Economic Area (EU, Norway, Iceland, or Liechtenstein). The UK is no longer part of the EEA. A special permit to act as board member may in some cases be granted to permanent residents of the US or Switzerland.
- After the company has been registered, the details of the beneficial owners must be filed with the Trade Register.
- To do business, the newly registered company will need a corporate bank account. Companies House Finland can assist you in opening one.
- The company will also need to take care of its bookkeeping in accordance with Finnish legislation and accounting practices. Companies House Finland can assist you with that, too.
